JSC Halyk Finance (hereinafter referred to as the “Bookrunner”) announces the planned public offering of Jupiter Energy Limited ordinary shares (ISIN - AU000000JPR6) (hereinafter referred to as the “Shares” and each as “Share”) on Astana International Exchange (AIX) (hereinafter referred to as the “Offer”).
The Offer includes the placement by Jupiter Energy Limited (hereinafter referred to as the “Company”) of the new Shares to be issued in the amount of up to 260,000,000 (two hundred and sixty million) shares. The Company intends to apply for admission of the Shares to the official AIX list.
The Share price under the Offer (hereinafter referred to as the “Share Price”) was set at 0.03 Australian dollars per Share, but will be offered in US dollars at the exchange rate of the US dollar to the Australian dollar effective on the day prior to opening the book (bookbuilding). For informational purposes only, this is approximately equivalent to the price of 0.019 US dollars per Share at the exchange rate of the US dollar to the Australian dollar effective on the date of this announcement.
As part of the Offer, the Company plans to issue additional Shares and raise approximately 5,000,000 (five million) US dollars.
The additional details of the Offer:
- More detailed information about the Offer will be included in the Prospectus Summary, which is expected to be published on the web-site of AIX.
- The Company intends to use the funds raised from the placement for business development.
- The Shares will be listed and admitted to trading on the AIX.
- The Shares will be offered to institutional and retail investors in Kazakhstan on the AIX.
- The final Share Price will be determined one day prior to opening the order book (Bookbuilding) and is expected to be announced approximately on June 16, 2025.
- The Company engaged JSC Halyk Finance as a bookrunner and lead manager of the Offer.
- An online roadshow presentation with the participation of Jupiter Energy Limited management is planned to be held on June 9, 2025 at 11:00 Astana time.
